TERMS & CONDITIONS APPLY ON SALES
Effective Date: 15th May 2009
This document embodies the sole term and conditions of the contract between M. J. Associates (First party) and the Second party (dealer) with effect of each transaction:
1. Contract:
Contract is made between buyer and seller in good faith through our assistance; our only job is to arrange business between both parties where as supplier need to assist buyer by quality and services.
2. Payment:
Payment has to make directly by buyer to seller; we will assist supplier to have timely payment through overseas buyer but in case payment is not made in time we are not bound or defaulter in case payment is not made by buyer so we strongly suggest all our associates to arrange ECGC for each sales for security of payment.
3. Delivery:
In general goods shall be delivered with in time range but both parties shall be prepared for delay/ early arrival of goods by 10+/- 15 days from agreed schedules; we take 100% guarantee to arrange shipment of material from our principals to customers.
4. Failure to Delivery:
The purchaser shall notify the seller with in seven (7) days of delivery of any short fall in loss or damage to goods delivered. Failure to so notify shall disentitle the purchaser to any remedy to the shortage, loss or damages. In any case if supplier does not arrange shipment with in time or fail to fulfill commitment all losses of purchaser shall be fulfilled by seller (manufacturer)
5. Quality, Documents / Services:
Quality of Product must totally resemble to contract; Quality must be as per International Standards for both Food / Technical usage. Manufacture (Exporter) of goods is 100% liable (responsible) for quality of products, proper documentation as per Order, delivery of documents to buyer with in time frame with very good services; in lack of any of above for losses to purchaser shall be borne by Manufacture (Exporter) in 100%
6. Title / Notice:
We take opportunity to arrange business mutually for sake of small & limited interest thus our liability is also limited as under:-
a) Our Role to arrange mutual business between both parties
b) All corresponding shall be 100% routed through us
c) Quality shall be maintained by supplier (exporter)
d) Documentation and timely shipment shall be arranged by exporter
e) Payment has to be arranged by buyer in agreed time; in case not we shall try our best to arrange payment but it will not be our liability to pay same.
f) Shipment has be to arranged by exporter in due range in case not any loss/ consequence shall be borne by him only.
g) Its duty of supplier to send documents with in time range to buyer in avoid to cause any demurrage- in case documents sent late due to supplier fault has to bear loss.
h) Both parties shall work mutually in order to have long term co-operation.
7. Packing:
New bags shall be used for each consignment and quality of bags must be as per International Standards; in case Quality of bags are not fine/ as per standard loss/ consequence shall be defaulter in case of damages.
8. Terms of Contract:
Entire Contract/ order shall be fulfilled as per terms of contract mention at Order sheet; in case of any default through any party shall bear its consequence.
9. Newsletter:

10. Updates:

11. Arbitration:
All disputes in connection with this Contract or the execution thereof shall be settled by friendly negotiation. If no settlement can be reached, the case in dispute shall then be submitted for arbitration to Indian International Economic and Trade Arbitration Commission in accordance with the Arbitration Rules of Indian International Economic and Trade Arbitration Commission. The decision made by the Commission shall be accepted as final and binding upon both parties. The fees for arbitration shall be borne by the losing party unless otherwise awarded by the Commission.
All above terms & Conditions are applicable to each deal managed through M. J. Associates thus please make sure on above point before dealing with us.
